Healthy Food Choices Club Code Of Ethics

As a member in good standing of the Healthy Food Choices Club, I subscribe to and am bound by the following Healthy Food Choices Club Code Of Ethics:

As a Club Member:

I will abide by the Healthy Food Choices Club’s Membership Agreement, Code of Ethics and Constitution.

I will behave in a manner that is conductive to the purpose of this Club.

I will, at all times, try to be constructive and instructive in my dealings with other members and with the general public.

I understand and will endeavor to uphold the purpose of The Healthy Food Choices Club - to understand and educate members and non members about the use and consumption of nutrient dense foods including but not limited to raw dairy products, range/grass fed meats and organic fruits and vegetables.

Healthy Food Choices Club Constitution and By Laws

Article One: Names and Objects

Section One: The name of the Club shall be “Healthy Food Choices Club”.

Section Two: The object of the Club shall be to understand and educate members and non-members about the use and consumption of nutrient dense foods including but not limited to raw dairy products, pastured meats and organic fruits and vegetables.

Section Three
: The Club shall not be conducted for anyone’s personal or financial gain. The Club shall not be conducted or operated for profit or personal gain.  No part of any profits or remainder or residue from dues or donations to the Club shall inure to the benefit of any member or individual.

Section Four: The organizers of the club shall adopt and may from time to time revise such bylaws, agreements and other club documents as may be required to carry out these objects.

Article Two: Memberships

Section One: ELIGIBILITY
Membership shall be open to all persons who are sponsored by a Member Farmer or a Member in good standing who subscribe to the purposes of this Club. Each applicant for membership shall apply on a form provided by the Secretary and which shall provide that the applicant agrees to abide by the Constitution, Bylaws, Code of Ethics and the rules of the Healthy Food Choices Club. Membership is unrestricted as to residence. The Club does not discriminate on the basis of race, color, age, marital status, sex, religion, national origin, ancestry, sexual orientation or disability.

There shall be one classification of membership:
"Individual": Any person who has reached his or her 18th birthday shall be a regular member with full privileges from the date of membership.

Section Two
: DUES
Dues per year shall be as follows:
"Individual": $10.00

A dues notice will be sent in early December along with the Annual Meeting Notice. Dues are due January 1 of each year. Membership will be considered lapsed if dues are not paid by February 20th of each year.

New Members who join after October 1 in a given year will not have to renew membership until January 1 of the second year.

Section Three: ELECTION TO MEMBERSHIP
Each applicant for membership shall apply on forms as approved by the Club Secretary. Such forms shall provide that the applicant agrees to abide by the Constitution, Bylaws, and Code of Ethics and that the applicant has read and understands the Code of Ethics and agrees to abide by them. The application shall state the name, address, phone number and e-mail address and it shall carry the endorsement of a Member Farmer or of one Member in good standing of the Club.

The application shall be sent along with dues to the Secretary.

Section Four: TERMINATION OF MEMBERSHIP
Membership may be terminated:
(a) BY DEATH OR RESIGNATION. The death of any member terminates the membership. Any member in good standing may resign from the Club upon written notice to the Secretary; but no member may resign when in debt to the Club. Dues obligations are considered a debt to the Club and become incurred on January 1 of each year. Obligations other than dues are considered a debt to the Club and must be paid in full prior to resignation.
(b) BY LAPSING. A membership will be considered as lapsed and automatically terminated if such member's dues remain unpaid on February 20th of each year. Lapsed members may reapply for membership.

Members who have resigned or whose membership has lapsed may reapply for membership immediately. However, any reapplying member shall be treated the same as all other prospective members and their status as a former member of the Club shall not be considered when determining their eligibility for membership.

Article Three: MEETINGS

The annual meeting of the Club shall be held at a place, date and hour designated by the Club organizers. Meetings may also be done via email or via announcement on the Club’s website.

Article Four: THE CLUB YEAR

The Club's official and accounting year shall begin on the first day of January and end on the 31st day of December.

Article Five: DISSOLUTION

The Club may be dissolved at any time. In the event of dissolution of the Club other than for purposes at reorganization, whether voluntary or involuntary by the action of law, none of the property of the Club nor any proceeds thereof nor any assets of the Club shall be distributed to any members of the Club. After payment of the debts of the Club, all property and assets shall be given to a charitable organization benefiting the promotion and education of the benefits of consuming nutrient dense foods.

Article Six: AMENDMENTS

The constitution, bylaws, membership application/agreement and other Club documents may be amended at any time provided a copy of the proposed amendment has been mailed by the Secretary to each member in good standing.

Healthy Food Choices Club Membership Application and Agreement

This agreement is made between the individual identified above and The Healthy Food Choices Club, whose mailing address is Healthy Food Choices Club, c/o Alison Tyler at 4315 Global Court, Norcross GA 30093, and who is legally registered with the State of Georgia and with the Federal Government as a non-profit organization.

All applications for membership to the Healthy Food Choices Club must be sponsored by a Member Farmer or by a current Member in good standing.

Members agree to abide by The Healthy Food Choices Club's Constitution, By-Laws and Code of Ethics.  Members further state and agree that:

HE/SHE is not acting alone or with other parties to entrap, hurt, prosecute or otherwise gather information for any agency, corporation, or other entity to in any way negatively affect The Healthy Food Choices Club, its Members, Member Farmers or its functions.

HE/SHE is not aware of any medical conditions that would prevent them or their family from eating unprocessed or natural foods, including but not limited to raw dairy products, range/grass fed meats or organically raised fruits and vegetables.

HE/SHE has personally researched the use and consumption of unprocessed or natural foods including but not limited to raw dairy products, range fed meats or organically raised fruits and vegetables and HE/SHE understands that there are potential risks and benefits associated and attributed to cooking with and eating unprocessed and natural foods including but not limited to raw dairy products, range/grass fed meats and organic fruits and vegetables.

HE/SHE fully indemnifies and holds harmless of any wrongdoing and damages The Healthy Food Choices Club, its Organizers, Members, Members Guests, Board of Directors and Member Farmers should anything arise that is or could be attributed to the Member's association with The Healthy Food Choices Club, its Organizers, Members, Members Family and Guests, Board of Directors or Member Farmers.

HE/SHE understands and agrees that The Healthy Food Choices Club is a private, Members only organization that is not engaged in the conduct of any trade or business, commerce or sales transactions.

HE/SHE agrees that any part of this membership application/agreement and related documents that is deemed unenforceable does not effect or alter the remaining provisions, club by laws or constitution.

HE/SHE understands and acknowledges that this Agreement and related documents constitute the entire agreement between the parties with respect to membership in The Healthy Food Choices Club.

HE/SHE understands and agrees that the this Agreement and related documents shall be governed by and interpreted by and in accordance with Georgia law, which law shall prevail in the event of any conflict of law.

IN WITNESS WHEREOF, the parties hereto have set their hands as of this date.
