The undersigned hereby agrees as follows:

Client hereby grants to Beneficial State Bank (“Bank”), its licensees, successors and assigns (collectively, the “Bank Entities”), the right and license to reproduce, distribute, display and otherwise use the intellectual property including photographs, images, information, materials and other items (the “Story Materials”) that Client provides to Bank, in perpetuity, in any and all forms, formats, manner and media, now known or hereafter devised, in connection with a story written by Bank about Client.

Client understands and agrees that the Bank Entities’ use of the Story Materials shall be the sole and exclusive property of the Bank Entities, and may be used, in whole or in part (including any necessary alternations thereof), in any form to meet the requirements of the Bank Entities. Without in any way limiting the foregoing, Client agrees that the Bank Entities shall have sole discretion in determining the extent and manner of use of the Story Materials, and the Bank Entities are not obligated in any way to use the Story Materials in any medium.

Client represents that it has the right, capacity, and authority to enter into this agreement (the “Agreement”) and that the Story Materials and the rights Client has granted in this Agreement will not conflict with or violate any agreement, commitment or understanding Client has with any other person or entity and will not violate or infringe upon the rights of any other person.

Client acknowledges that this Agreement constitutes the entire understanding of the parties regarding the subject matter hereof and cannot be terminated, rescinded or amended hereafter, except by written agreement signed by Client and Bank. This agreement shall be exclusively governed by and construed in accordance with the laws of the State of California applicable to agreements entered into and wholly performed therein. A fax or photocopy of this document shall be deemed an original for all purposes.
